Terms of Operational Service

These Terms of Operational Service (“Terms”) govern the provision of workforce management, site logistics, and welfare solutions supplied by Southgate Global Services Limited (“Southgate Global”, “we”, “us”, or “our”) to our framework partners, principal contractors, and subcontractors (“Client”, “you”, or “your”).

By engaging our services, submitting a tender request, or utilising our active deployment logistics, you agree to be bound by these Terms.

1. Scope of Operations

Southgate Global operates as a corporate delivery partner specialising in tier-1 civil engineering and infrastructure support. Our core services include:

  • Supply of vetted, compliant structural specialists and general labour assets.
  • Centralised workforce logistics, including the operation of 16+ seat transit fleets.
  • Site welfare compound management, including deep cleaning, consumable replenishment, and maintenance.

Any specific deliverables, headcount metrics, or deployment timelines will be outlined in a separate, bespoke Framework Agreement or Subcontractor Statement of Work (SOW) prior to project commencement.

2. Service Level Assurance & Liability Limits

We strive to provide uninterrupted, highly efficient workforce deployment and site support. However, infrastructure environments are subject to external variables.

  • Operational Delays: Southgate Global shall not be held liable for deployment delays, workforce downtime, or financial penalties resulting from factors beyond our direct logistical control. This includes extreme weather events, tier-1 principal contractor site closures, unannounced regulatory inspections, or unforeseen traffic incidents impacting our transit fleets.
  • Vetting Accuracy: While we meticulously vet all personnel for correct CSCS certifications and right-to-work statuses, the ultimate responsibility for daily site-level inductions and task-specific safety briefings rests with the principal site controller.
  • Indemnity: The Client agrees to indemnify and hold harmless Southgate Global from any claims, damages, or site fines arising from the Client’s failure to maintain a safe working compound or negligence in directing our deployed personnel.

3. Welfare Facility & Asset Management

Where Southgate Global is contracted to manage site welfare cabins or provide transit vehicles:

  • Asset Integrity: The Client is responsible for ensuring that all physical assets (cabins, minibuses) located on their active site remain secure from vandalism or unauthorised use.
  • Damage Liability: Any structural damage to welfare units caused by the Client’s direct employees or third-party contractors (excluding standard wear and tear) will be billed directly to the Client.
  • Access Requirements: The Client must guarantee our maintenance crews and deep-cleaning operatives safe, unhindered access to the welfare compounds during agreed-upon operational schedules, including weekend shifts.

4. Commercial & Tender Terms

  • Invoicing: Unless otherwise specified in a bespoke Framework Agreement, Southgate Global issues invoices on a standard weekly cycle based on verified operative time-sheets and logistics usage.
  • Payment Schedules: Standard payment terms are strictly 30 days from the date of invoice. Late payments may result in the suspension of active workforce deployment and the halting of logistics transit fleets until the account is cleared.
  • Tender Validity: Any operational quotes, pricing brackets, or tender estimates provided by our Procurement Desk are valid for exactly 30 days from the date of issue unless explicitly stated otherwise.

5. Health, Safety & Compliance Mandates

Safety is our ultimate corporate mandate.

  • Zero Tolerance: Southgate Global reserves the right to immediately withdraw our workforce and transit fleets from any deployment site if we deem the environment structurally unsafe, or if the Client fails to enforce standard HSE compliance protocols.
  • Reporting: Both parties must immediately report any site accidents, near-misses, or structural breaches involving Southgate Global personnel to our 24/7 Operations Support Desk.

6. Governing Law

These Terms and any operational disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the English courts.
